Kahurere Terms of Trade for Certified Suppliers

These Terms of Trade set out the conditions under which Kahurere Limited supplies wallpaper products to its suppliers. By placing an order or making payment, the supplier agrees to be bound by these Terms.
1. Definitions
1.1 “Kahurere” means Kahurere Limited, its successors and assigns.
1.2 “Supplier” means the person or entity purchasing wallpaper product from Kahurere.
1.3 “Wallpaper Product” means all wallpaper rolls supplied by Kahurere.
1.4 “Price” means the amount payable for wallpaper product, excluding GST unless stated otherwise.
1.5 “Order” means any request, quote acceptance, payment, or confirmation for wallpaper product.
2. Acceptance
2.1 The Supplier is deemed to have accepted these Terms when an order is placed, approve a quote, or make a payment.
2.2 These Terms override any Supplier terms unless agreed in writing by Kahurere.
2.3 As all wallpaper products are manufactured to order, no order is confirmed until full payment has been received.
3. Product Information, Samples & Colour Variations
3.1 All wallpaper products are made to order and batch variations are normal.
3.2 Colour variation between:
(a) sample books,
(b) digital images, and
(c) the final printed product is expected due to batch production processes
3.3 Colour variation is not considered a defect and is not grounds for return, refund, or replacement.
3.4 Kahurere can arrange samples for Suppliers customers directly at a cost. Suppliers must have access and use an authorised Kahurere sample box.
3.5 Sample boxes are indicative only and may not match the final production batch precisely.
3.6 One sample box is provided free of charge, any lost or damaged sample boxes are replaced at the suppliers cost.
4. Price & Payment
4.1 All orders must be paid in full upfront before production begins.
4.2 You will be issued an invoice for payment.
4.3 No order will enter production until paid in full and funds have cleared.
4.4 All Prices are in NZD and exclude GST unless stated otherwise.
5. Lead Times
5.1 Standard production time is 10 working days, plus shipping.
5.2 Standard estimated timeframe is 2–3 weeks, subject to workload and seasonality.
5.3 Lead times are estimates only and not guaranteed.
5.4 Kahurere is not liable for delays caused by suppliers, freight companies, shipping issues, or events beyond reasonable control.
6. Delivery
6.1 Delivery occurs when a wallpaper product is delivered to the Suppliers nominated address.
6.2 Risk transfers to the Supplier upon delivery.
6.3 Delivery costs are additional unless specified otherwise.
6.4 Kahurere currently delivers to New Zealand only.
7. Risk & Ownership
7.1 Risk passes to the Supplier on delivery.
7.2 Ownership passes only when Kahurere has received full payment.
7.3 Wallpaper products must be stored flat, in a dry area, and kept away from moisture prior to installation.
8. Installation
8.1 Correct installation is essential to product performance, all paper hangers must provide excellent installations and quality craftsmanship.
8.2 Kahurere can provide a list of preferred independent installers.
8.3 Kahurere is not liable for:
(a) incorrect installation
(b) installer workmanship
(c) wall preparation issues
(d) bubbling, peeling, lifting, or seam issues caused by installation or site conditions.
8.4 Walls must be properly prepared, smooth, sealed, dry, and fully cured.
8.6 Issues arising from moisture, leaks, unsealed walls, textured surfaces, or poor site conditions are not defects and not the responsibility of Kahurere.
9. Returns, Refunds & Defects
9.1 As wallpaper products are made to order, no returns or refunds are accepted unless required by law.
9.2 Claims must be made in writing to Kahurere within 10 days of delivery, with photos provided.
9.3 Kahurere will replace or refund only where:
(a) the wallpaper product is defective, and
(b) the defect is confirmed by Kahurere.
9.4 Defects caused by installation, storage, wall conditions, or mishandling are not covered.
10. Intellectual Property
10.1 All designs, artwork, patterns, and branding remain the exclusive property of Kahurere Limited.
10.2 Suppliers may not reproduce, scan, digitise, copy, or create derivative works of any Kahurere design.
10.3 Purchase of wallpaper products does not grant any intellectual property rights.
11. Use of Images & Marketing
11.1 Kahurere may request permission to share installation photos supplied by the Supplier.
11.2 Where images are provided, the Supplier agrees that Kahurere may use them for marketing, social media, and promotional purposes, with the Supplier or installer tagged where applicable.
11.3 Commercial photography or brand collaborations must be pre-approved.
12. Liability
12.1 To the maximum extent permitted by New Zealand law, Kahurere is not liable for:
(a) indirect or consequential loss
(b) loss of profit or business
(c) installation issues
(d) delays in manufacturing or delivery
(e) colour variations
12.2 Kahurere’s total liability is limited to the price paid for the wallpaper product in question.
13. Privacy
13.1 Supplier information is collected solely for order fulfilment and communication.
13.2 Information is stored securely and not shared except for delivery or installation purposes.
13.3 The Supplier agrees to Kahurere’s privacy practices as outlined in its Privacy Policy.
14. General
14.1 These Terms are governed by the laws of New Zealand.
14.2 Amendments must be in writing and agreed by Kahurere.
14.3 If any clause is invalid, the remaining clauses remain in effect.
15. Force Majeure
15.1 Kahurere is not liable for events outside its control (e.g., delays, natural events, supply chain issues).
